Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Arsel marketing engagement platform (the "Service"), operated by Arsel ("we", "us", or "our"), accessible at https://arsel.sa. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

Arsel is a marketing engagement platform that enables businesses to manage contacts, create and send email and SMS campaigns, build email templates, track campaign performance, and manage audience segments. The Service includes a web application, APIs, and SMTP integration.

2. Account Registration & Organizations

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

The Service supports organizations with multiple team members. Organization administrators are responsible for managing member access and permissions within their organization. Each organization's data is isolated from other organizations.

You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Not share your account with unauthorized individuals

3. Acceptable Use Policy

As a marketing engagement platform, Arsel requires all users to comply with anti-spam laws and ethical marketing practices. You agree that you will:

  • Only send messages to recipients who have given valid, verifiable consent to receive communications from you
  • Include a clear and functional unsubscribe mechanism in every marketing email
  • Honor all unsubscribe requests promptly
  • Accurately identify yourself as the sender in all communications
  • Comply with all applicable laws, including CAN-SPAM, GDPR, CASL, KSA PDPL, and other regional anti-spam and data protection regulations

You agree that you will NOT:

  • Send unsolicited bulk messages (spam)
  • Use purchased, rented, or third-party contact lists without proper consent
  • Send content that is deceptive, fraudulent, or misleading
  • Send phishing emails or messages designed to harvest credentials or personal data
  • Distribute malware, viruses, or harmful code via the Service
  • Send content that is illegal, harassing, threatening, defamatory, or discriminatory
  • Attempt to circumvent sending limits, rate limits, or other platform restrictions
  • Use the Service to compete with Arsel or reverse-engineer our technology
  • Interfere with or disrupt the Service or its infrastructure

4. Your Data & Content

You retain ownership of all data you upload to the Service, including contact lists, email templates, campaign content, and any other materials ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide the Service to you.

You are solely responsible for the legality, accuracy, and appropriateness of Your Content. You represent that you have all necessary rights and consents to upload and use Your Content through the Service.

5. Email & SMS Campaigns

5.1 Domain & Sender Verification

Before sending campaigns, you must verify your sending domains and email addresses through our verification process. This helps protect deliverability for all users.

5.2 Tracking & Analytics

The Service provides engagement tracking for campaigns, including open tracking (via tracking pixels), click tracking (via redirect links), bounce detection, and complaint monitoring. You are responsible for disclosing tracking practices to your recipients as required by applicable law.

5.3 Sending Limits

Sending limits may apply based on your plan, account age, and reputation. We reserve the right to throttle or pause sending if we detect activity that could harm deliverability or violate these Terms.

6. API Usage

If you access the Service via our API or SMTP integration, you agree to:

  • Keep your API keys and SMTP credentials secure
  • Respect rate limits and usage quotas
  • Not use automated access to disrupt the Service

We may suspend API access if usage patterns indicate abuse or threaten platform stability.

7. Payment & Billing

7.1 Subscriptions & Fees

Certain features of the Service may require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees. Fees are billed in advance on a recurring basis according to your selected plan.

  • All fees are non-refundable unless otherwise stated
  • We may change pricing with at least 30 days' notice before your next billing cycle
  • Failure to pay may result in suspension or termination of your account

7.2 Plan Limits & Auto-Upgrade

Each plan includes a monthly email limit and, for marketing plans, a contact limit. We track your usage against these limits and notify account administrators by email when you reach 80% of either limit. If you exceed a limit, the Service's response depends on your auto-upgrade preference, which you can configure in your billing settings:

  • Auto-upgrade enabled (opt-in): we will automatically move your subscription to the next pricing tier within your current plan, or to the first tier of the next plan up if you are already at the top tier of your current plan. You authorize us to charge the prorated amount for the new tier when such an upgrade occurs, and you will receive an email confirming the change. Auto-upgrade does not apply to Free or Custom plans, and does not occur once you reach the highest available tier.
  • Auto-upgrade disabled (default): outbound message sends and new contact additions that would exceed your plan's limits are blocked until you upgrade your plan or your next billing period begins. Previously sent messages and existing contacts are not affected.

Auto-upgrades are billed at the standard published price for the destination tier. You may disable auto-upgrade at any time from your billing settings; previously executed auto-upgrades are not automatically reversed.

8. Account Suspension & Termination

We may suspend or terminate your account if:

  • You violate these Terms or the Acceptable Use Policy
  • Your campaigns generate excessive spam complaints or bounce rates
  • We receive abuse reports related to your account
  • Your account is used for illegal activities
  • You fail to pay applicable fees

Where possible, we will provide notice and an opportunity to remedy the issue before termination. In cases of severe abuse, we may suspend access immediately.

You may terminate your account at any time by contacting us at support@arsel.sa. Upon termination, your data will be retained for up to 30 days to allow for export, after which it will be permanently deleted.

9. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Arsel and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Email or SMS messages will be delivered to every recipient
  • Campaign analytics will be 100% accurate
  • The Service will meet all of your specific requirements

11. Limitation of Liability

To the maximum extent permitted by law, Arsel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by applicable law

12. Indemnification

You agree to indemnify, defend, and hold harmless Arsel, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your Content or campaigns sent through the Service
  • Your violation of these Terms or applicable laws
  • Any third-party claims related to messages you sent through the Service

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and close your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia.
